Codon Valuation connector · Effective October 17, 2026

These terms apply to the Codon Valuation connector (the "connector"), a service of Codon Valuation Advisors LLC ("Codon", "we"). By using the connector in Claude, ChatGPT or another AI assistant you agree to them. If you do not agree, do not use the connector.

What the connector does

The connector calculates indicative estimates of the value of a private company's common or ordinary shares from the figures you provide, and describes the process for a formal valuation. It is a planning tool. It is free to use and needs no account.

Not a valuation, not advice

Results are indicative estimates only. They are not a 409A valuation, do not provide safe harbor protection under Section 409A of the US Internal Revenue Code, and are not a valuation agreed with HM Revenue and Customs. They are not tax, legal, accounting or investment advice, and no professional relationship is created by using the connector. Decisions about option exercise prices, grants and filings are yours and your advisers'. A formal valuation is a separate engagement under its own written terms.

Your inputs

You are responsible for the accuracy of the figures you enter and for having the right to share them. The connector does not need names or other personal information, and you should not include any. How we handle inputs is described in the privacy policy.

Acceptable use

You may not use the connector to break the law, to overload or probe our systems, to resell its output as a valuation opinion, or to misrepresent its results as a formal valuation or as Codon's professional opinion.

Availability and changes

We may change, suspend or withdraw the connector, or update its assumptions and methods, at any time without notice. We do not promise that it will be available or error-free.

Limitation of liability

The connector is provided "as is". To the fullest extent the law allows, Codon is not liable for any loss arising from use of, or reliance on, the connector or its results, including tax, interest, penalties or indirect loss. Nothing in these terms limits liability that cannot be limited by law.

Intellectual property

The connector, its models, assumptions and text are Codon's. You may use the results for your own planning and share them with your advisers.

Governing law

These terms are governed by the laws of the United States and the state in which Codon Valuation Advisors LLC is organized, and disputes will be heard in the courts of that state, except where the law of your country gives you rights that cannot be excluded.

Changes to these terms

If we change these terms we will update the effective date above.
